TERMS OF USE - BUYERS

Preamble

Société Famille et Amis, whose registered office is located at 5 avenue Foch, Saint-Mandé 94160, contact@cop-room.com, offers on its website www.cop-room.com, of which it is the publisher, a service allowing adult buyers, after registration, to purchase the products offered in the Website's catalog under the conditions established in the Website's General Terms of Sale, which they accept when placing their order, these being directly available on the Website. The Products offered on the Site are new products and are offered at a fixed price. By using the Service, the Buyer agrees to comply with these General Terms of Sale without restriction or reservation. This acceptance is confirmed by the Buyer ticking a box certifying their acceptance of these General Terms of Use during registration to benefit from the Service.

Article 1 - Purpose of the General Terms of Use:
These General Terms of Use are intended to define the conditions under which the association Famille et Amis provides Buyers with technological tools allowing them to use the Service. In case of non-compliance with these terms of use, or any use contrary to good faith, the Company "Famille et Amis" reserves the right to suspend, temporarily or permanently, the Buyer's access to the Service. All clauses of these General Terms of Use are binding on the Buyer. The invalidity of a contractual clause does not entail the invalidity of the General Terms of Use, unless this clause was decisive for the consent of one of the parties, either the Buyer or the seller represented by the legal entity Société Familiale des Amis, to conclude the sales contract resulting from the use of the Service within the framework of the purchase of a Product. The spontaneous, temporary or permanent non-application by Société Familiale des Amis of one or more clauses of the General Terms of Use does not constitute a waiver of the other clauses of the General Terms of Use, which continue to produce their effects.


Article 2 - The Service
2.1 - Description of the Service
The Service consists of a set of technological tools allowing the Buyer to register on the Site, place an order for a Product available in the Site's catalog, pay the price of this Product, and confirm receipt of this Product. The Service is not intended to allow the Buyer to resell their Product to the "Family and Friends" Company. A contractual relationship between Family and Friends Society and the Buyer is established by sales transactions concluded after the Buyer’s use of the Service.

2.2 - Access to the Service
The Buyer agrees to access the Internet network in compliance with the law, notably by entering into an Internet access contract with an Internet service provider. By accepting these General Terms of Use, the Buyer acknowledges and agrees to use the Service exclusively for personal purposes. Use of the Service is subject to opening an account on the Site. Opening this account is done on a dedicated tab of the Site by providing data to identify the Buyer and by creating a username and password freely chosen by the Buyer. The Buyer agrees to keep this username and password secret and not to disclose them to any third party and to ensure that the information provided is accurate. Access to and use of the Service through the Account are the sole responsibility of the Buyer, except in cases of proven fraudulent use. If applicable, the Buyer cannot be held responsible for any use of the Service contrary to these Terms of Use and must immediately inform the Family and Friends Society association in case of loss, theft, or fraudulent use of their username and/or password. In case of changes to the information provided for opening the Account, the Buyer agrees to update this information on their account within a reasonable time.

2.3 - Price of the Service
The opening of the Account by the Buyer is free of charge. The free service is independent of any costs related to Internet connection. The Buyer has no obligation to purchase when using the Service. Only the actual purchase of a Product by the Buyer, after execution and validation of their order, obliges them to pay the price of the Product under the conditions defined in the General Terms and Conditions of Sale.

Article 3 - Personal data
Personal data concerning the Buyer is processed by Family and Friends Society, as the publisher of the Site and responsible for the processing of this personal data. This personal data is necessary for the identification of the Buyer and the proper use of the Service, particularly regarding the delivery and payment of the Product, and will only be used for this purpose. In accordance with the Data Protection Act, the Buyer has the right to access, rectify, portability of their personal data, and the right to be forgotten. To exercise these rights, the Buyer can contact the Family and Friends Society association at the following address: contact@cop-room.com.


Article 4 - Intellectual property
All documents, texts, descriptions, comments, images, illustrations, works, and publications reproduced or represented on the Site are protected by copyright under intellectual property law for the duration of legal protection and worldwide. Any reproduction, representation, modification, or adaptation, in whole or in part, of the Site is strictly prohibited. All company names, trademarks, and distinctive signs reproduced on the Site are protected under trademark and design rights. The reproduction or representation of all or part of any of these signs is strictly prohibited and must be subject to prior written authorization from the trademark holder. As such, the use of the Service and, more generally, the access to all documents referred to in article 4 of the General Terms of Use is reserved exclusively and strictly for personal and private use, subject to contrary or more restrictive provisions of the intellectual property code.

Article 5 - Liability: It is understood that
The liability of Family and Friends Society towards the Buyer cannot be engaged for acts that are not directly attributable to it and that would cause no direct harm to the Buyer; - The liability of Family and Friends Society cannot furthermore be engaged for acts related to the Buyer's misuse of the Service or any fault on their part; - Finally, liability cannot be engaged due to acts related to any misuse of the Service or fault attributable to a third party to the Service. Furthermore, pursuant to law no. 2004-575 for confidence in the digital economy of June 21, 2004, the liability of Family and Friends Society cannot be engaged due to content made available on the Site by Buyers and Sellers, particularly regarding comments, product reviews, if, having been informed of the illegality of such content under the conditions provided by the aforementioned law, Family and Friends Society promptly made the disputed content inaccessible. In any case, the Buyer is solely responsible for the use they make of the Service.


Article 6 - Applicable law
These General Terms of Use are governed by French law and apply to Buyers residing in a member state of the European Union other than France, without prejudice to more favorable legislation in that state.

GENERAL TERMS OF USE - SELLERS

Preamble

The Société Famille et Amis, whose registered office is located at 5 avenue Foch, Saint-Mandé 94160, inspired by the consignment model, offers on its website www.cop-room.com, of which it is the publisher, a service allowing major sellers, after registration, to sell their products to the Société Famille et Amis, owner of the Site, so that it can offer the Products in the Site's catalog, for sale under the conditions provided in the Site's General Terms. The Products offered for sale by the Seller are new products and are offered at a fixed price. By using the Service, the Seller agrees to comply with these General Terms of Use without restriction or reservation. This acceptance is confirmed by the Seller's action of checking a box attesting to their acceptance of these Terms of Use during registration to benefit from the Service.


Article 1 - Purpose of the General Terms of Use
These General Terms of Use are intended to define the conditions under which the Société Familiale et des Amis provides the Seller with technological tools allowing them to offer their Product for sale to the Société Familiale et des Amis. In case of non-compliance with these General Terms of Use, or any use contrary to good faith, the Société de la Famille et des Amis reserves the right to temporarily or permanently suspend the Seller's access to the Service. All clauses of these General Terms of Use are binding on the Seller. The nullity of a contractual clause does not entail the nullity of the General Terms of Use, except if this clause was decisive for the consent of one of the parties, either the Seller or the Family Association, to the conclusion of the sales contract resulting from the use of the Service within the framework of the purchase of a Product. The spontaneous, temporary, or permanent non-application by the Family Association of one or more clauses of the General Terms of Use does not constitute a waiver of the other clauses of the General Terms of Use, which continue to produce their effects.


Article 2 - The Service
2.1 - Description of the Service
The Service consists of a set of technological tools allowing Sellers to register on the Site, to offer a Product corresponding to those offered by Family and Friends Society on its Site, to choose a sales method according to the options provided in the Site's General Terms of Sale, to sell the Product, and to choose the delivery terms of this Product to Family and Friends Society. A contractual relationship between Family and Friends Society and the Seller is thus established through the sales transactions concluded following the Seller's use of the Service.

2.2 - Access to the Service
The Seller agrees to access the Internet in accordance with the law, notably by entering into an Internet access supply contract with an Internet service provider. By accepting these General Terms of Use, the Seller acknowledges and agrees to use the Service exclusively for personal purposes. The use of the Service is subject to the opening of an account on the Site. The opening of this Account is done on a dedicated tab of the Site by providing data to identify the Seller and by creating a username and password freely determined by them. The Seller agrees to keep this username and password confidential and not to disclose them to any third party and to ensure that the information provided is accurate. Access to and use of the Service through the Account are the responsibility of the Seller, except in cases of fraudulent use. If applicable, the Seller cannot be held responsible for any use of the Service contrary to these General Terms of Use and must immediately inform Family and Friends Society in case of loss, theft, or fraudulent use of their username and/or password. In case of changes to the information provided for opening the Account, the Seller agrees to update this information, on their own behalf, within a reasonable timeframe.

2.3 - Price of the Service
The opening of the Account by the Seller is free of charge. The free service is independent of any costs related to Internet connection. The use of the Service by the Seller is not subject to any obligation to sell. Only the actual sale of a Product by the Seller, subject to the agreement of the Family and Friends Society, requires the provision and supply of the Product to the Family and Friends Society under the conditions set forth in the General Terms and Conditions of Sale.


Article 3 - Personal data
Any personal data concerning the Seller is processed by Family and Friends Society, in its capacity as publisher of the Site and data controller of this personal data. This personal data is necessary for the identification of the Seller and the proper use of the Service, particularly regarding the delivery and payment of the Product and will only be used for this purpose. In accordance with the Data Protection Act, the User has the right to access, rectify, portability of their personal data, and the right to be forgotten. To exercise these rights, the User may contact the Family and Friends Society association at the following address: contact@cop-room.com.


Article 4 - Intellectual property

- The liability of the Association Family and Friends towards the Seller cannot be engaged for facts that are not directly attributable to them and that do not cause any direct damage to the Seller; and
- The liability of the Association Family and Friends cannot further be engaged for facts related to the misuse of the Service by the Seller or any fault on their part; and
- The responsibility of the Family and Friends Association cannot finally be engaged due to facts related to any misuse of the Service or fault attributable to a third party to the Service. Furthermore, pursuant to law no. 2004-575 for confidence in the digital economy of June 21, 2004, the responsibility of the Family Society cannot be engaged due to content made available on the Site by Buyers or Sellers, particularly regarding comments, product reviews if, having been informed of the illegality of this content under the conditions provided by the aforementioned law, the Family Society promptly made the disputed content inaccessible. In any case, the Seller alone is responsible for the use they make of the Service.


Article 6 - Applicable law
